END-USER LICENCE AGREEMENT

Section A - Backup To Neighbor Client
=====================================

Section A of this agreement is applicable only if you use Backup To Neighbor Client. All the statements in Section A is applicable to Backup To Neighbor Client only.

Melody-Soft hereby gives you a non-exclusive license to use Backup To Neighbor Client Version 1.0 (the Client Software).

You understand:
- Use of the Client Software constitutes your acceptance of this license agreement
- The Client software is licensed, not sold.
- You may use the Client Software without any fee for evaluation purpose for a period of 30 days.
- License fee is required to obtain a valid license if you use the Client Software after the evaluation period.
- The license is per computer, not per simultaneous user.
- This "try before you buy" approach is the ultimate guarantee that the Client Software will perform to your satisfaction; therefore, you agree that there is no refund policy for any purchase of the Client Software
- The licensed Client Software may not be rented or leased. But it may be permanently transferred provided that you would destroy all copies of the Software and the recipient agrees to this license agreement.

You may:
- use the Client Software on any single computer only for each individual license.
- transfer the Client Software to another computer provided that the Software has been uninstalled from the original computer.
- copy the Client Software for archival purposes, provided that any copy contains all of the original Softwares proprietary notices.

You may not:
- modify, translate, reverse engineer, decompile, disassemble the Client Software
- create derivative works based on the Client Software
- distribute the license Key of the Client Software
- remove any proprietary notices or labels on the Client Software.
EVALUATION VERSION
====================
The evaluation version of the Client software is time-limited version of the licensed release. It is fully functional during the evaulation period. The evaluation version may be copied and distributed freely, with the following restrictions:

- The Client Software is not modified in any way and the package is intact
- The license key is not distributed with the Software
- If you distribute the Client software through Internet (e.g. e-mail, FTP), you may not charge any fee.
- If you distribute the Client software through physical media (e.g. floppy disc, CD-ROM), you may charge a reasonable fee to reimburse the distribution cost.
TERMINATION
=============
The license will terminate automatically if you fail to comply with the limitations described above. On termination, you must destroy all copies of the Client Software and Documentation.
DISTRIBUTION
==============
The Client Software may be copied and distributed freely, with the following restrictions:

- The Client Software is not modified in any way and the package is intact
- If you distribute the Server software through Internet (e.g. e-mail, FTP), you may not charge any fee.
- If you distribute the Server software through physical media (e.g. floppy disc, CD-ROM), you may charge a reasonable fee to reimburse the distribution cost.
DISCLAIMER OF WARRANTY
========================
The Client Software is provided on an AS IS basis, without warranty of any kind, including without limitation the warranties of merchantability, fitness for a particular purpose and non-infringement. The entire risk as to the quality and performance of the Client Software is borne by you. Should the Client Software prove defective, you and not Melody-Soft assume the entire cost of any service and repair.

MELODY-SOFT IS NOT RESPONSIBLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES.

Title, ownership rights and intellectual property rights in and to the Client Software shall remain in Melody-Soft. The Software is protected by international copyright treaties.

Section B - Backup To Neighbor Server
=====================================

Section B of this agreement is applicable only if you use Backup To Neighbor Server. All the statements in Section B is applicable to Backup To Neighbor Server only.

Melody-Soft hereby gives you a non-exclusive license to use Backup To Neighbor Server Version 1.0 (the Server Software).

You understand:
- Use of the Server Software constitutes your acceptance of this license agreement
- The Server Software is licensed, not sold.
- You may use the Server Software without any fee for any purpose, including commercial application.
- Melody-Soft does not guarantee that all future version of Server Software is free of charge.

You may not:
- modify, translate, reverse engineer, decompile, disassemble the Server Software
- create derivative works based on the Software
- remove any proprietary notices or labels on the Software.

You may provide paid service to public using the Server Software provided that you comply with all of the followings:
- You must not claim that you wrote the original software.
- You must not misrepresent the origin of this software.
- You are responsible for any liability caused. You must not claim from Melody-Soft for any loss, damage or legal responsibility.

The license will terminate automatically if you fail to comply with the limitations described above. On termination, you must destroy all copies of the Server Software and Documentation.
